Sp. z o.o. is an independent legal entity that can be registered by one or several founders. What is the main advantage of this form of doing business? The main advantage is limited liability: the founders bear the risk only within the limits of their contributions to the authorized capital, the minimum amount of which is PLN 5,000. It is a simplified procedure focused on electronic interaction and fast submission of documents to the court. Here are the key steps in the process:
Step 1. Registering an account on the S24 portal (you need a Polish phone number and access to internet banking).
Step 2. Filling in the form with company data: name, address, activity codes, authorized capital and information about the founders.
Step 3. Automatic generation of standard articles of association and also deposit the authorized capital (minimum 5000 PLN) to the company's account.
Step 4. Submission of the application through the platform. Obtaining a KRS registration number.
Obviously, at the end of the process, you need to sign your signature to confirm the registration of the LLC. The signature can also be done online. It is enough to have a trusted ePuap profile, for which a PESEL number will need to be issued in advance.

And so, after you have submitted the documents through the S24 platform, you need to start setting up the capital. To do this, you need to open a bank account in one of the Polish banks. It is necessary to deposit the authorized capital - the minimum amount allowed is 5000 PLN. Moreover, the authorized capital will not be enough. The amount must be paid in full to cover the authorized capital. In addition, a civil law transaction tax pododatkiem do czynności cywilnoprawnych (PCC) of 0.5% must be paid on the amount of the authorized capital.

It must be paid within 14 days from the date of registration of the company. Keep in mind that opening a company is half the battle. Even at the account opening stage, you will need an office. However, why rent a physical office to register a company, if it is not necessary. That' why everyone opens a so-called virtual office. This is the place where your correspondence comes, it is copied and sent to your email. Moreover, it is even convenient in a country where all notifications still come physically in an envelope. The main difference between a virtual office and a physical one is that it is cheaper many times over. But you may face a problem when opening an account, as banks have a common register, which shows the list of virtual offices. For a couple of years now there has been an obligation from the Polish authorities that any business must have a physical office. In reality, this is not the case: people are not ready to throw away money. Before you open a virutal office, make sure that it is not on such a list. This is due to the fact that one virtual office can accommodate 100 and sometimes even 1000 clients. The cost of such an office per month can cost from 25 to 50 euros, and per year about 250-500 euros. Therefore, be careful at this stage when opening an account. The founders transfer these funds to a corporate account and the bank issues a confirmation that is attached to the court packet. IMPORTANT: LLC founders can't just take money out of their business. You can withdraw dividends from the capital, which will be your net profit after taxes. Until the company registration procedure is completed, the authorized capital is effectively «frozen» and can't be used in operating activities. Its purpose is to show the financial reliability of the company and prove that you will be able to cover potential liabilities to your clients and partners.
An alternative way to remotely open a Polish LLC is to register by power of attorney. What is the essence? The founder executes an official power of attorney for a representative - for example, a lawyer or business partner - who submits the documents, signs the articles of association and finalizes the registration of the company on his or her behalf. The power of attorney must be notarized and translated into Polish by a sworn translator. After receiving such a document, the representative submits the application to the court, deposits the authorized capital and completes the necessary formalities. However, keep in mind that this method will require additional expenses from you. For example, you have to formalize the power of attorney and pay an administrative fee of 17 PLN. What do we mean? Every time a lawyer will represent you as a client, he will have to pay 17 PLN for the power of attorney. Even elementary, to be able to submit a form instead of you, you will have to pay this administrative fee again.
What additional costs might there be? In addition to the capital, other costs such as notary fees, court fees and publication of notices in the Judicial and Commercial Gazette must be considered when establishing a limited liability company.
